  4. Part 1 - General Terms
  5.  
  6. PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE PROGRAM. 
  7. IBM WILL LICENSE THE PROGRAM TO YOU ONLY IF YOU FIRST ACCEPT 
  8. THE TERMS OF THIS AGREEMENT. BY USING THE PROGRAM YOU AGREE TO 
  9. THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS 
  10. AGREEMENT, PROMPTLY RETURN THE UNUSED PROGRAM TO IBM.
  11.  
  12. The Program is owned by International Business Machines 
  13. Corporation or one of its subsidiaries (IBM) or an IBM 
  14. supplier, and is copyrighted and licensed, not sold.
  15.  
  16. The term "Program" means the original program and all whole or 
  17. partial copies of it. A Program consists of machine-readable 
  18. instructions, its components, data, audio-visual content (such 
  19. as images, text, recordings, or pictures), and related licensed 
  20. materials.
  21.  
  22. This Agreement includes Part 1 - General Terms and Part 2 - 
  23. Country-unique Terms and is the complete agreement regarding 
  24. the use of this Program, and replaces any prior oral or written 
  25. communications between you and IBM. The terms of Part 2 may 
  26. replace or modify those of Part 1.

  29. 1. License
  30.  
  31. Use of the Program
  32.  
  33. IBM grants you a nonexclusive, nontransferable license to use 
  34. the Program.
  35.  
  36. You may 1) use the Program only for internal evaluation, 
  37. testing or demonstration purposes, on a trial or "try-and-buy" 
  38. basis and 2) make and install a reasonable number of copies of 
  39. the Program in support of such use, unless IBM identifies a 
  40. specific number of copies in the documentation accompanying the 
  41. Program. The terms of this license apply to each copy you make. 
  42. You will reproduce the copyright notice and any other legends 
  43. of ownership on each copy, or partial copy, of the Program.
  44.  
  45. THE PROGRAM MAY CONTAIN A DISABLING DEVICE THAT WILL PREVENT IT 
  46. FROM BEING USED UPON EXPIRATION OF THIS LICENSE. YOU WILL NOT 
  47. TAMPER WITH THIS DISABLING DEVICE OR THE PROGRAM. YOU SHOULD 
  48. TAKE PRECAUTIONS TO AVOID ANY LOSS OF DATA THAT MIGHT RESULT 
  49. WHEN THE PROGRAM CAN NO LONGER BE USED.

  51. You will 1) maintain a record of all copies of the Program and 
  52. 2) ensure that anyone who uses the Program does so only for 
  53. your authorized use and in compliance with the terms of this 
  54. Agreement.
  55.  
  56. You may not 1) use, copy, modify or distribute the Program 
  57. except as provided in this Agreement; 2) reverse assemble, 
  58. reverse compile, or otherwise translate the Program except as 
  59. specifically permitted by law without the possibility of 
  60. contractual waiver; or 3) sublicense, rent, or lease the 
  61. Program.

  63. This license begins with your first use of the Program and ends 
  64. 1) as of the duration or date specified in the documentation 
  65. accompanying the Program or 2) when the Program automatically 
  66. disables itself. Unless IBM specifies in the documentation 
  67. accompanying the Program that you may retain the Program (in 
  68. which case, an additional charge may apply), you will destroy 
  69. the Program and all copies made of it within ten days of when 
  70. this license ends.

  73. 2. No Warranty
  74.  
  75. SUBJECT TO ANY STATUTORY WARRANTIES WHICH CANNOT BE EXCLUDED, 
  76. IBM MAKES NO WARRANTIES OR CONDITIONS EITHER EXPRESS OR 
  77. IMPLIED, INCLUDING WITHOUT LIMITATION, THE WARRANTY OF NON-
  78. INFRINGEMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND 
  79. FITNESS FOR A PARTICULAR PURPOSE, REGARDING THE PROGRAM OR 
  80. TECHNICAL SUPPORT, IF ANY. IBM MAKES NO WARRANTY REGARDING THE 
  81. CAPABILITY OF THE PROGRAM TO CORRECTLY PROCESS, PROVIDE AND/OR 
  82. RECEIVE DATE DATA WITHIN AND BETWEEN THE 20TH AND 21ST 
  83. CENTURIES.

  85. This exclusion also applies to any of IBM's subcontractors, 
  86. suppliers or program developers (collectively called 
  87. "Suppliers").
  88.  
  89. Manufacturers, suppliers, or publishers of non-IBM Programs may 
  90. provide their own warranties.
  91.  
  92.  
  93. 3. Limitation of Liability
  94.  
  95. NEITHER IBM NOR ITS SUPPLIERS ARE LIABLE FOR ANY DIRECT OR 
  96. INDIRECT DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, 
  97. LOST SAVINGS, OR ANY INCIDENTAL, SPECIAL, OR OTHER ECONOMIC 
  98. CONSEQUENTIAL DAMAGES, EVEN IF IBM IS INFORMED OF THEIR 
  99. POSSIBILITY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR 
  100. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE 
  101. EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

  103.  
  104. 4. General
  105.  
  106. Nothing in this Agreement affects any statutory rights of 
  107. consumers that cannot be waived or limited by contract.
  108.  
  109. IBM may terminate your license if you fail to comply with the 
  110. terms of this Agreement. If IBM does so, you must immediately 
  111. destroy the Program and all copies you made of it.
  112.  
  113. You may not export the Program.
  114.  
  115. Neither you nor IBM will bring a legal action under this 
  116. Agreement more than two years after the cause of action arose 
  117. unless otherwise provided by local law without the possibility 
  118. of contractual waiver or limitation.
  119.  
  120. Neither you nor IBM is responsible for failure to fulfill any 
  121. obligations due to causes beyond its control.
  122.  
  123. There is no additional charge for use of the Program for the 
  124. duration of this license.
  125.  
  126. IBM does not provide program services or technical support, 
  127. unless IBM specifies otherwise.
  128.  
  129. The laws of the country in which you acquire the Program govern 
  130. this Agreement, except 1) in Australia, the laws of the State 
  131. or Territory in which the transaction is performed govern this 
  132. Agreement; 2) in Albania, Armenia, Belarus, Bosnia/Herzegovina, 
  133. Bulgaria, Croatia, Czech Republic, Georgia, Hungary, 
  134. Kazakhstan, Kirghizia, Former Yugoslav Republic of Macedonia 
  135. (FYROM), Moldova, Poland, Romania, Russia, Slovak Republic, 
  136. Slovenia, Ukraine, and Federal Republic of Yugoslavia, the laws 
  137. of Austria govern this Agreement; 3) in the United Kingdom, all 
  138. disputes relating to this Agreement will be governed by English 
  139. Law and will be submitted to the exclusive jurisdiction of the 
  140. English courts; 4) in Canada, the laws in the Province of 
  141. Ontario govern this Agreement; and 5) in the United States and 
  142. Puerto Rico, and People's Republic of China, the laws of the 
  143. State of New York govern this Agreement.

  147. Part 2 - Country-unique Terms
  148.  
  149.  
  150. AUSTRALIA:
  151.  
  152. No Warranty (Section 2):
  153.  
  154. The following paragraph is added to this Section:
  155.  
  156. Although IBM specifies that there are no warranties, you may 
  157. have certain rights under the Trade Practices Act 1974 or other 
  158. legislation and are only limited to the extent permitted by the 
  159. applicable legislation.
  160.  
  161. Limitation of Liability (Section 3):
  162.  
  163. The following paragraph is added to this Section:
  164.  
  165. Where IBM is in breach of a condition or warranty implied by 
  166. the Trade Practices Act 1974, IBM's liability is limited to the 
  167. repair or replacement of the goods, or the supply of equivalent 
  168. goods. Where that condition or warranty relates to right to 
  169. sell, quiet possession or clear title, or the goods are of a 
  170. kind ordinarily acquired for personal, domestic or household 
  171. use or consumption, then none of the limitations in this 
  172. paragraph apply.

  175. GERMANY:
  176.  
  177. No Warranty (Section 2):
  178.  
  179. The following paragraphs are added to this Section:
  180.  
  181. The minimum warranty period for Programs is six months.
  182.  
  183. In case a Program is delivered without Specifications, we will 
  184. only warrant that the Program information correctly describes 
  185. the Program and that the Program can be used according to the 
  186. Program information. You have to check the usability according 
  187. to the Program information within the "money-back guaranty" 
  188. period.
  189.  
  190. Limitation of Liability (Section 3):
  191.  
  192. The following paragraph is added to this Section:
  193.  
  194. The limitations and exclusions specified in the Agreement will 
  195. not apply to damages caused by IBM with fraud or gross 
  196. negligence, and for express warranty.
  197.  
  198.  
  199. INDIA:
  200.  
  201. General (Section 4):
  202.  
  203. The following replaces the fourth paragraph of this Section:
  204.  
  205. If no suit or other legal action is brought, within two years 
  206. after the cause of action arose, in respect of any claim that 
  207. either party may have against the other, the rights of the 
  208. concerned party in respect of such claim will be forfeited and 
  209. the other party will stand released from its obligations in 
  210. respect of such claim.

  213. IRELAND:
  214.  
  215. No Warranty (Section 2):
  216.  
  217. The following paragraph is added to this Section:
  218.  
  219. Except as expressly provided in these terms and conditions, all 
  220. statutory conditions, including all warranties implied, but 
  221. without prejudice to the generality of the foregoing, all 
  222. warranties implied by the Sale of Goods Act 1893 or the Sale of 
  223. Goods and Supply of Services Act 1980 are hereby excluded.

  226. ITALY:

  228. Limitation of Liability (Section 3):
  229.  
  230. This Section is replaced by the following:
  231.  
  232. Unless otherwise provided by mandatory law, IBM is not liable 
  233. for any damages which might arise.

  236. NEW ZEALAND:
  237.  
  238. No Warranty (Section 2):
  239.  
  240. The following paragraph is added to this Section:
  241.  
  242. Although IBM specifies that there are no warranties, you may 
  243. have certain rights under the Consumer Guarantees Act 1993 or 
  244. other legislation which cannot be excluded or limited. The 
  245. Consumer Guarantees Act 1993 will not apply in respect of any 
  246. goods or services which IBM provides, if you require the goods 
  247. and services for the purposes of a business as defined in that 
  248. Act.

  250. Limitation of Liability (Section 3):
  251.  
  252. The following paragraph is added to this Section:
  253.  
  254. Where Programs are not acquired for the purposes of a business 
  255. as defined in the Consumer Guarantees Act 1993, the limitations 
  256. in this Section are subject to the limitations in that Act.
  257.  
  258.  
  259. UNITED KINGDOM:
  260.  
  261. Limitation of Liability (Section 3):
  262.  
  263. The following paragraph is added to this Section at the end of 
  264. the first paragraph:
  265.  
  266. The limitation of liability will not apply to any breach of 
  267. IBM's obligations implied by Section 12 of the Sales of Goods 
  268. Act 1979 or Section 2 of the Supply of Goods and Services Act 
  269. 1982.

  295. EXPLANATIONS OF TERMS:
  296.  
  297. Authorization for Use on Home/Portable Computer:
  298. "1" means that the Program may be stored on the primary
  299. machine and another machine, provided that the Program is not
  300. in active use on both machines at the same time.
  301. "2" means that you may not copy and use this Program on
  302. another computer without paying additional license fees.
  303.  
  304. Program Services End Date:
  305. The Program is warranted and program services will be
  306. available until the end date specified above.
  307.  
  308. Year 2000 Readiness:
  309. "1" means that this Program does not have date dependencies
  310. and is therefore Year 2000 ready.
  311. "2" means that this Program, when used in accordance with
  312. its associated documentation, is capable of correctly
  313. processing, providing and/or receiving date data within
  314. and between the twentieth and twenty-first centuries,
  315. provided that all products (for example, hardware, software,
  316. and firmware) used with this IBM Program properly exchange
  317. accurate date data with it.

  319. Specified Operating Environment
  320.  
  321. The Program Specifications and Specified Operating
  322. Environment information may be found in documentation
  323. accompanying the Program such as the Installation/User's 
  324. Guide.
  325.  
  326. U.S. Government Users Restricted Rights
  327.  
  328. U.S. Government Users Restricted Rights - Use, duplication,
  329. or disclosure restricted by the GSA ADP Schedule Contract
  330. with the IBM Corporation.
